1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of Vela Capital's website and educational programs. By accessing our website, enrolling in our programs, or using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services following any changes constitutes acceptance of those changes.

2. Definitions

• "Vela Capital," "we," "us," or "our" refers to Vela Capital, located at 133 Asok Montri Road, Watthana, Bangkok 10110, Thailand
• "Participant" or "you" refers to any individual who enrolls in or participates in our programs
• "Programs" refers to all educational courses, workshops, and training offered by Vela Capital
• "Website" refers to velacapat.pro and all associated pages
• "Materials" refers to all educational content, documents, templates, and resources provided

3. Eligibility

To enroll in our programs, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate and complete enrollment information
• Comply with all applicable laws and regulations

4. Program Enrollment and Fees

4.1 Enrollment Process

Program enrollment is completed through our official inquiry and registration process. Enrollment is confirmed upon receipt of payment and written confirmation from Vela Capital.

4.2 Program Fees

Program fees are as follows:

• Tax Awareness & Planning Basics: ฿10,500
• Small Business Financial Literacy: ฿25,000
• Wealth Preservation & Estate Awareness: ฿48,000

All fees are quoted in Thai Baht and are subject to change. Participants will be notified of any fee changes before enrollment.

4.3 Payment Terms

Full payment is required prior to program commencement unless alternative payment arrangements have been agreed upon in writing. Accepted payment methods include bank transfer and credit card.

4.4 Refund Policy

Refunds are available under the following conditions:

• Full refund: Cancellation received 14 days or more before program start date
• 50% refund: Cancellation received 7-13 days before program start date
• No refund: Cancellation received less than 7 days before program start date
• If Vela Capital cancels a program, participants receive full refund

5. Program Delivery

5.1 Schedule and Format

Programs are delivered according to the schedule communicated at enrollment. We reserve the right to modify program schedules, formats, or locations with reasonable notice to participants.

5.2 Participant Attendance

Participants are expected to attend all scheduled sessions. While we understand circumstances may prevent attendance, we cannot guarantee makeup sessions for missed content.

5.3 Materials

Program materials are provided for personal educational use only. Materials remain the intellectual property of Vela Capital and may not be reproduced, distributed, or used for commercial purposes without written permission.

6. Participant Responsibilities

As a program participant, you agree to:

• Attend scheduled sessions and participate constructively
• Complete any assigned exercises or activities
• Treat instructors and fellow participants with respect
• Maintain confidentiality regarding other participants' information
• Not record sessions without explicit written permission
• Not share program materials with non-participants
• Comply with all applicable laws and these Terms

7. Intellectual Property

All content, materials, curriculum, trademarks, and intellectual property associated with Vela Capital's programs are owned by or licensed to Vela Capital. This includes but is not limited to course content, templates, worksheets, presentations, and instructional materials.

Participants receive a limited, non-exclusive, non-transferable license to use program materials solely for personal educational purposes. This license does not permit commercial use, reproduction, distribution, or creation of derivative works.

8. Educational Nature and Disclaimers

8.1 Educational Purpose

Vela Capital provides educational programs designed to build financial knowledge and understanding. Our programs are informational in nature and do not constitute professional financial advice, legal counsel, tax guidance, or investment recommendations.

8.2 No Advisory Relationship

Participation in our programs does not create an advisory or fiduciary relationship. Participants should consult qualified professionals for personalized advice regarding their specific financial, legal, or tax situations.

8.3 No Guarantees

We do not guarantee specific outcomes, results, or benefits from program participation. Financial decisions remain the sole responsibility of participants.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Vela Capital's liability for any claims arising from program participation or use of our services is limited to the amount of fees paid for the specific program in question.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Vela Capital, its instructors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your violation of these Terms or misuse of program materials.

11. Privacy and Data Protection

Your personal information is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for details on how we collect, use, and protect your data.

12. Termination

12.1 Termination by Participant

Participants may withdraw from programs subject to the refund policy outlined in Section 4.4.

12.2 Termination by Vela Capital

We reserve the right to terminate a participant's enrollment if they:

• Violate these Terms
• Engage in disruptive or inappropriate behavior
• Fail to make required payments
• Provide false or misleading information

In cases of termination for cause, no refund will be provided.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Thailand. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before pursuing formal legal action, parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, mediation may be pursued before resorting to litigation.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, labor disputes, or technical failures. In such cases, we will make reasonable efforts to reschedule or provide alternative program delivery methods.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any program-specific agreements, constitute the entire agreement between you and Vela Capital regarding our services and supersede all prior agreements and understandings.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to enrolled participants via email. Continued participation in programs or use of our services after changes constitutes acceptance of modified Terms.
